Draft: not yet in force.
This page is a working draft and has not been reviewed. It does not yet form part of any
agreement. Sections marked [CONFIRM] still need
completing.
[CONFIRM: operator identity and business address. UK e-commerce rules require the trading name, the legal entity behind it and a geographic address before this page goes live.] "We", "us" and "our" mean the operator of Copilot SEO. "You" means the person or business that opens an account.
Copilot SEO connects to Google Search Console with your permission, fetches performance data for the properties you add, and shows you analysis of it: opportunities, alerts, topics and experiments. It reads from Search Console only. It never changes your website or your Search Console settings.
You must give accurate details, keep your credentials secure, and are responsible for everything done under your account and by the members of your teams. You must only connect Search Console properties you are authorised to access.
The free Starter plan and the paid plans have the limits shown on the pricing section of our home page at the time you subscribe. Paid plans are billed in advance through our payment processor, Stripe. [CONFIRM: billing cycles, and whether prices are inclusive or exclusive of VAT. This must match what Checkout actually does.]
You may cancel at any time from the billing page. Access continues until the end of the period already paid for. [CONFIRM: refund policy. Stripe expects a published one.]
You must not use the service for any unlawful purpose, try to access another team's data, place an unreasonable load on the service or its API, or resell access without our agreement.
Opportunities, scores, estimates and recommendations are calculated from Search Console data, which Google samples, anonymises and reports with a delay of about two days. They are a guide to where to look, not a guarantee of any ranking or traffic outcome. You decide what to change on your own site.
Your Search Console data and anything you add to the service remain yours. We process personal data as described in our Privacy Policy. [CONFIRM: how long data is kept after cancellation, and how deletion is requested.]
We aim to keep the service available and your data synced daily, but we do not currently offer a contractual uptime guarantee. Syncing depends on Google's API being available.
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
Subject to that, our total liability to you arising out of or in connection with these terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited in aggregate to the fees you paid us in the twelve months before the event giving rise to the claim.
Subject to the first paragraph of this section, we are not liable for loss of profit, loss of revenue, loss of anticipated savings, loss of goodwill, or for any indirect or consequential loss, in each case however caused.
[CONFIRM: a cap only binds if it is reasonable under the Unfair Contract Terms Act 1977. A free plan with a twelve-month-fees cap means a cap of nil, so decide whether you want a fixed minimum. If any users are consumers rather than businesses, this section needs rewriting.]
We may change these terms and will tell you before a material change takes effect. We may suspend or close an account that breaches them. [CONFIRM: notice period.]
These terms are governed by the laws of England and Wales, and the courts of that jurisdiction have exclusive jurisdiction. Questions: [CONFIRM: contact email].
